Is this is merger or a sale?

Ok so if you dont mind giving me the information so is this a merge or a sale? Because I have seen both words being used and those 2 words do not mean the same thing. So I would like to know if possible which one is it.

Contractually = legally. Any "understandings" along the way, if not specified directly in the contract, are at best "gentleman's agreements", and carry no weight. Overtake owns RD and can do as it pleases. Time will tell what that will be.
